Upon purchase or activation, and subject to these Terms, Classify grants your institution a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services for internal management purposes only.

4.1 Single Institution — The license applies to one educational institution (single school or campus). You may not use the license for another institution or as a commercial offering to external organizations.

4.2 Large Institutions — For universities or multi-campus institutions, one license may cover the entire entity under the same legal entity as specified in the contract.

4.3 Student/Group Volume — Each license includes a maximum number of student groups as defined in the purchase agreement. If your institution exceeds this limit, you agree to upgrade or obtain additional licensing.

4.4 Prohibited Uses — Copying, redistributing, or reverse-engineering the Services is strictly prohibited.

All rights, title, and interest in and to the Services — including the underlying code, algorithms, documentation, branding, logos, and websites — remain the exclusive property of Classify Services LLC and its licensors. You receive only limited usage rights under these Terms and do not acquire any ownership interest in the Services. Reverse-engineering, decompiling, copying, or creating derivative works based on the Services is strictly prohibited.

Data that your institution enters into the platforms remains your property. Classify uses this data solely to operate the Services on your behalf.

When you register for the Services, you agree to provide accurate, complete, and up-to-date information including your institution name, country, contact email, and administrator details.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at terms@classifyservices.com if you suspect unauthorized access to your account. Classify is not responsible for losses resulting from unauthorized account access caused by your failure to maintain credential security.

You agree not to use the Services to:

  • Engage in unlawful, fraudulent, or harmful activity
  • Process data for which your institution does not have the necessary rights or legal basis (FERPA, GDPR, and local data protection compliance remain your responsibility)
  • Attempt to bypass licensing, group volume limitations, or technical controls
  • Scrape, copy, or attempt to reverse-engineer the Services
  • Resell or provide access to the Services to third parties without our written authorization
  • Deliberately overload or abuse our servers or infrastructure

8.1 Payment Processor — Payments are processed securely through Stripe. We do not store full card numbers on our own systems.

8.2 Billing Options — We offer yearly recurring subscriptions, cancellable with at least 48 hours notice before the next billing cycle, and free trials for new clients subject to applicable terms.

8.3 Refund Policy — Classify offers a full refund within 7 days of the initial payment if: the institution is not satisfied and requests cancellation within 7 days; the institution cannot complete onboarding due to technical limitations on our side; or a legitimate issue prevents use of the Services and cannot be resolved within 7 days. After the 7-day window, refunds may be provided at Classify's discretion.

8.4 Pricing Lock — If your agreement specifies locked-in pricing for a defined term, that pricing will not change during the term provided usage stays within the agreed scope.

Classify reserves the right to change its prices for new or renewing customers. For existing customers on non-locked plans, we will provide at least 30 days' notice before any price increase takes effect. Contracts with fixed or locked-in pricing will remain at that price for the duration of the agreed term.

Classify provides support through email and, where applicable, scheduled calls and priority onboarding for paid institutions. An AI-powered assistant is available directly within both platforms for operational guidance. Support availability and response times may vary based on your subscription or agreement.

All data processed by the Services — including timetable data, exam session data, instructor availability, room details, and attendance records — is stored on our secure cloud infrastructure and remains your institution's property. Our handling of personal data is described in our Privacy Policy. By using the Services, you agree to the terms of that Privacy Policy.

While we aim to provide a reliable, highly available experience, Classify is not responsible for interruptions caused by events outside our control, including cloud infrastructure outages, internet connectivity issues, or force majeure events such as natural disasters or government actions. If an issue originates from our own Services, we will provide support and work diligently to resolve it.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. Classify does not warrant that the Services will be error-free or fully compatible with all custom configurations. You remain responsible for reviewing and validating timetables and exam plans generated by the Services before they are finalized or communicated to students or staff.

To the maximum extent permitted by applicable law, Classify's total liability for any claim arising out of or relating to the Services or these Terms is limited to the total amount paid by your institution to Classify in the twelve (12) months preceding the event giving rise to the claim.

Classify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, exam disruptions, scheduling errors, or reputational damage, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless Classify, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of any applicable laws, inaccurate or unlawful data entered into the platforms, or any breach of these Terms.

Classify may suspend or terminate your access to the Services with immediate effect if required payments are not made, you exceed your licensed group volume without upgrading, you engage in illegal activity or violate the Acceptable Use Policy, you attempt to reverse-engineer or redistribute the Services, or you otherwise materially breach these Terms. Termination does not entitle you to a refund, except as explicitly provided in the Refund Policy section.

We may update these Terms from time to time to reflect changes in the Services, legal requirements, or business practices. When we do, we will update the "Last updated" date at the top of this page and may notify active users by email where appropriate. Your continued use of the Services after updated Terms become effective constitutes acceptance of those changes.

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Delaware, USA, except where applicable consumer protection laws require a different forum.

Entire Agreement — These Terms constitute the entire agreement between you and Classify regarding the Services and supersede all prior agreements.

Severability — If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

No Waiver — Failure to enforce any right or provision does not constitute a waiver.

Assignment — You may not assign your rights without our prior written consent. Classify may assign its rights in connection with a merger or acquisition.

Force Majeure — Classify is not liable for failures caused by events beyond its reasonable control.

Language — In the event of any inconsistency, the English version of these Terms shall prevail.
